Who are we?
The DIVICOM S.A. company was established on October 5, 2006 (Notary Office Agnieszka Zielińska-Jarocha in Poznan, repertory A No. 6947/2006).

The founders of the Company were:

  • PC Guard S.A. with a place of business in Poznan,
  • ARAMAZ Agencja BTL Sp. z o.o. with a place of business in Poznan,
  • Leonard Cyrson.

Description of the activity
The object of the Company’s activity is managing a network of computer stores under the brand name DIVICOM in a partner system. The basis for cooperation between DIVICOM S.A. and Commercial partners is a partnership contract containing detailed conditions regarding cooperation. The partnership contract has the character of a franchise contract. The Company after signing an agreement with the partner complexly equips the store with furniture, shelves, external visualization and assumes the marketing care over the store. The partner benefits from the DIVICOM brand as well as the Network’s advertising and promotional materials.

An essential point of the Divicom strategy is launching stores in mid-sized localities (mainly county seats). In Divicom’s opinion, this is a way to use the market niche and bring the commercial offer to other social groups. The location of stores in smaller localities also allows avoiding destructive competitive struggles with other networks which operate mainly in large cities.

Initial capital
On 25.10.2007 the Company possessed an initial capital in the sum of PLN 5,400,000 which is divided into:

  1. 3,000,000 series A bearer shares with a nominal value of PLN 1.00 (one zloty) each, with numbers from 000001 to 3000000, paid in cash,
  2. 1,400,000 series B bearer shares with a nominal value of PLN 1.00 (one zloty) each, with numbers from 000001 to 1400000, paid in cash,
  3. 1,000,000 series C bearer shares with a nominal value of PLN 1.00 (one zloty) each, with numbers from 000001 to 1000000, paid in cash.

Market description on which Divicom operates
Divicom operates on a widely known IT market and consumer electronics. The estimated size of the IT market in Poland in the year 2007 exceeded PLN 20 billion. However, Divicom directs its offer in particular to individual customers and small firms. This group of customers generates about 20 % of income on the IT market in Poland.
The most important source of income for Divicom is the sale of computers and peripherals. In the report "Rynek sprzętu komputerowego w Polsce w 2005 r." (Computer hardware market in Poland in the year 2005) it shows that the market value of these products in the year 2005 amounted to about PLN 8 billion.
